Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and WAGS Media, LLC (doing business as Steps Ahead) ("we," "us," or "our"), concerning your access to and use of the Steps Ahead website and application located at https://stepsahead.work (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access the Service.

Description of Service

Steps Ahead is a task tracker web application designed to help small teams stay organized and ahead of deadlines. The Service allows users to create teams, manage projects, set deadlines, add notes, and collaborate with team members.

User Accounts

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use the Service. We reserve the right to suspend or terminate accounts that violate these Terms.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates any applicable law or regulation
• Use the Service to transmit any harmful, offensive, or objectionable content
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Use the Service to send spam, chain letters, or other unsolicited communications
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use any automated means (bots, scrapers, etc.) to access the Service without our permission
• Impersonate any person or entity or falsely represent your affiliation with any person or entity
• Upload or transmit viruses, malware, or other malicious code
• Collect or harvest any information from the Service without authorization
• Use the Service to infringe upon the intellectual property rights of others

User Content

You retain ownership of any content you create, upload, or share through the Service ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and represent that:

• You own or have the necessary rights to use and share your User Content
• Your User Content does not violate the rights of any third party
• Your User Content complies with these Terms and all applicable laws

Team Features

The Service allows you to create teams and invite other users to collaborate. When using team features:

• Team administrators are responsible for managing team membership and permissions
• Content shared within a team is visible to all team members
• You should only invite users who you trust and who have agreed to these Terms
• We are not responsible for disputes between team members

Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of WAGS Media, LLC. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used in connection with any product or service without our prior written consent.

Third-Party Services

The Service may integrate with or contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party services.

Payment Terms

Certain features of the Service may require payment. If you choose to use paid features:

• You agree to pay all fees associated with your selected plan
• Payments are processed securely through our third-party payment processor (Stripe)
• All fees are non-refundable unless otherwise stated
• We reserve the right to change our pricing with reasonable notice

Service Availability

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WAGS MEDIA, LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

Indemnification

You agree to defend, indemnify, and hold harmless WAGS Media, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights
• Any claim that your User Content caused damage to a third party

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Maryland.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice (such as via email or through the Service).

Your continued use of the Service after any changes indicates your acceptance of the new Terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and WAGS Media, LLC regarding the Service and supersede all prior agreements and understandings.
